Terms of Service
These terms cover use of the Novel Gene website and the public-facing platform, and describe the relationship between Novel Gene and the parties exploring a partnership. They are written to be plain and reviewable; they are not a substitute for counsel.

02 — The service
A public website for an unproven company thesis.
Novel Gene explores whether generative design of proteins, materials, and microbial systems can be made scientifically and commercially defensible. This site does not claim a laboratory, verified results, or a shipping product.
The website is a public overview of a thesis and a place to store notes. It does not deliver designs, models, sequences, assays, or recommendations. Novel Gene does not operate a laboratory from this site.
03 — Partnership inquiries
Submitting an inquiry is exploratory — not a contract.
Submitting the partnership-inquiry form on this site starts an exploratory conversation. It is not, and is not intended to be, a binding offer, a service-level commitment, or a transfer of intellectual property. No obligation of any kind — to engage, to deliver designs, to keep information confidential, or to assign outputs — arises from an inquiry, a reply, or any pre-engagement discussion.
Anything submitted through the inquiry form (your email, organization, and use-case description) is handled in line with the Privacy Policy. The team triages inbound inquiries, follows up by email, and may keep the thread on file for the operational window described there.
Actual partnership work — including deliverables, fees, confidentiality, IP ownership, validation, and data handling — begins only when a separate written agreement is signed by both parties. Until that point, either side may walk away without liability.
04 — Limitation of liability
Provided as is — and capped, with standard exclusions.
The service, including any designs, models, sequences, assays, recommendations, and general information presented on this website, is provided on an “as is” and “as available” basis. Novel Gene makes no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or the achievement of any particular research or commercial outcome.
Nothing on the website or in pre-engagement conversations is a research finding, a validated result, or production guidance. Downstream validation, regulatory, safety, and intellectual-property review remain the responsibility of the partner and any recipient of the platform’s outputs. Novel Gene does not assume liability for how any design, model output, sequence, or recommendation is used once it leaves the platform.
Cap on liability
To the maximum extent permitted by law, the total aggregate liability of Novel Genefor any claim arising out of or related to the website, an inquiry, or a partnership — whether in contract, tort, or otherwise — is capped at the greater of (a) the fees paid by the claimant to Novel Genein the twelve months immediately before the claim arose, or (b) one hundred US dollars (USD 100).
In no event is Novel Geneliable for indirect, incidental, special, consequential, or punitive damages; for lost profits, revenue, data, or goodwill; or for the cost of obtaining substitute services — even if advised of the possibility of those damages, and even if a remedy fails of its essential purpose.
Nothing in this section limits any liability that cannot be excluded by applicable law, including liability for fraud, for death or personal injury caused by negligence, or for any other liability that applicable law says cannot be limited.
05 — Intellectual property & ownership
Designs, sequences, data, and IP remain with the partner.
Designs, sequences, datasets, assay results, and any other intellectual property produced for or shared by a partner in the course of an engagement remain the partner’s property, unless and until a written agreement signed by both parties states otherwise. Pre-engagement conversations and any informal exploration are non-binding and do not transfer ownership of intellectual property from either side to the other.
Novel Gene does not claim anonymized laboratory signal, because Novel Gene does not claim a laboratory or partner programs on this site.

These terms are updated as the practice evolves.
If the platform, the partnership model, or the legal posture changes in a way that affects these terms — for example, new IP or license arrangements — this page is updated, the effective date at the top is refreshed, and the previous version is kept available on request.
